NON-DISCLOSURE AGREEMENT

This Agreement is entered into on 2024-04-15 between:

1. Your Company (hereinafter "Disclosing Party")
2. Receiving Party (hereinafter "Receiving Party")

PURPOSE: Business collaboration discussions

1. CONFIDENTIAL INFORMATION
All information disclosed in connection with this Agreement, whether oral, written, or in any other form, is considered confidential.

2. OBLIGATIONS
The Receiving Party agrees to:
• Keep all information strictly confidential
• Not disclose to third parties without written consent
• Use information solely for the stated purpose
• Return or destroy materials upon request

3. DURATION
This Agreement remains in effect for 3 years from the effective date.

4. EXCLUSIONS
This Agreement does not apply to information that is publicly known or independently developed.

5. JURISDICTION
This Agreement is governed by Indian laws.
