This Non-Disclosure Agreement ("Agreement") is entered into on 2026-05-04 between Your Company Pvt Ltd ("Disclosing Party") and John Doe ("Receiving Party"). 1. CONFIDENTIAL INFORMATION "Confidential Information" includes all non-public information disclosed by the Disclosing Party including business plans, financial data, customer information, technical processes, trade secrets, and any other proprietary information. 2. OBLIGATIONS The Receiving Party agrees to: a) Hold all Confidential Information in strict confidence b) Not disclose to any third party without prior written consent c) Use the information solely for the purposes of employment d) Take reasonable security measures to protect the information 3. EXCLUSIONS This Agreement does not apply to information that: a) Is or becomes publicly known through no fault of the Receiving Party b) Was known to the Receiving Party before disclosure c) Is required to be disclosed by law or court order 4. TERM This Agreement shall remain in effect for a period of 3 years from the date of execution. 5. RETURN OF MATERIALS Upon termination, the Receiving Party shall return all Confidential Information. 6. GOVERNING LAW This Agreement shall be governed by the laws of India, with jurisdiction in Mumbai courts. By signing below, both parties agree to the terms above.
