This Deed of Partnership is made and executed at Mumbai on 4/5/2026 BETWEEN the following persons:

WHEREAS the partners have mutually agreed to carry on business of IT Consulting and Software Development in partnership under the firm name "Sharma & Associates", with principal place of business at 456, Tech Park, Andheri East, Mumbai - 400069.

1. Firm Name: The business shall be carried on under the name and style of Sharma & Associates.
2. Business: IT Consulting and Software Development.
3. Place of Business: 456, Tech Park, Andheri East, Mumbai - 400069, with branches as may be opened from time to time.
4. Capital: Total capital of the firm is ₹10,00,000, contributed by partners in proportion shown above.
5. Profit Sharing: Equal (50:50).
6. Interest on Capital: 12% per annum on capital contribution.
7. Salary: No partner salary unless mutually agreed.
8. Bank Account: Operated through HDFC Bank - Joint Account in firm name, jointly signed by all partners.
9. Duration: Partnership at will, can be dissolved by mutual consent.
10. Books of Account: Properly maintained at registered office, accessible to all partners.
11. Disputes: Settled through mutual discussion, failing which through arbitration.
12. Death/Retirement: Partnership shall not stand dissolved; remaining partners may continue.
