Partnership Deed

PARTNERSHIP DEED

This Deed of Partnership is made on 2026-04-26 between:

1. Partner 1 Name (FIRST PARTY)
2. Partner 2 Name (SECOND PARTY)

hereinafter referred to as the "Partners".

WHEREAS the Partners desire to carry on business in partnership under the name and style of "M/s ABC & Co".

1. NAME OF FIRM
The firm shall be known as "M/s ABC & Co" with registered office at Firm registered address.

2. NATURE OF BUSINESS
The firm shall carry on the business of trading and consulting services and any other business as mutually agreed.

3. COMMENCEMENT
The partnership shall commence from 2024-04-01 and continue at will.

4. CAPITAL CONTRIBUTION
(a) Partner 1 Name shall contribute ₹500000.
(b) Partner 2 Name shall contribute ₹500000.
Further capital may be brought in by mutual consent.

5. PROFIT/LOSS SHARING
Profits and losses shall be shared as follows:
- Partner 1 Name: 50%
- Partner 2 Name: 50%

6. INTEREST ON CAPITAL
Interest @ 12% per annum (subject to Income Tax Act limits) shall be paid on capital balances.

7. REMUNERATION
Working Partners shall be entitled to remuneration as per Section 40(b) of the Income Tax Act.

8. BANK ACCOUNTS
Firms bank accounts shall be operated jointly or as mutually decided.

9. BOOKS OF ACCOUNT
Proper books shall be maintained at the registered office and accessible to all partners.

10. ADMISSION/RETIREMENT
No new partner shall be admitted without unanimous consent. Any partner may retire by giving 3 months written notice.

11. DISSOLUTION
Firm may be dissolved by mutual consent or as per Indian Partnership Act, 1932.

12. ARBITRATION
Any dispute shall be settled by arbitration as per Arbitration & Conciliation Act, 1996.
