NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is made on 2026-04-26 between:

1. Discloser Name, residing at Discloser Address (the "DISCLOSER"); and

2. Recipient Name, residing at Recipient Address (the "RECIPIENT").

WHEREAS the DISCLOSER possesses certain Confidential Information which it is willing to disclose to the RECIPIENT for the sole purpose of evaluating a potential business collaboration.

1. CONFIDENTIAL INFORMATION
All information disclosed by DISCLOSER to RECIPIENT, whether oral, written, or electronic, including but not limited to business plans, financial data, technical details, customer lists, and trade secrets, shall be deemed Confidential Information.

2. OBLIGATIONS OF RECIPIENT
The RECIPIENT shall:
(a) Hold all Confidential Information in strict confidence.
(b) Not disclose it to any third party without prior written consent.
(c) Use it solely for the agreed purpose.
(d) Take reasonable precautions to protect such information.

3. EXCLUSIONS
This Agreement does not apply to information that:
(a) Was publicly known at the time of disclosure.
(b) Becomes public through no fault of RECIPIENT.
(c) Is independently developed by RECIPIENT without using Confidential Information.
(d) Is required to be disclosed by law.

4. TERM
This Agreement shall remain in effect for 3 years from the date of execution.

5. RETURN OF MATERIALS
Upon termination, RECIPIENT shall return all Confidential Information and destroy any copies.

6. JURISDICTION
This Agreement shall be governed by Indian law. Any disputes shall be subject to the courts of competent jurisdiction.
