Mutual NDA

MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual NDA is entered into on 2026-04-26 between:

1. Party A Name, having its address at Party A Address

2. Party B Name, having its address at Party B Address

(collectively the "Parties")

WHEREAS the Parties wish to exchange Confidential Information for the purpose of exploring a potential business partnership.

1. DEFINITION
"Confidential Information" means any non-public information disclosed by one Party to the other, in any form, related to business operations, technology, finances, customers, suppliers, products, or strategies.

2. MUTUAL OBLIGATIONS
Each Party agrees to:
(a) Treat the other Partys Confidential Information with the same care as its own confidential information.
(b) Not disclose it to any third party without prior written consent.
(c) Use it solely for the agreed purpose.
(d) Limit access to employees who need to know.

3. EXCLUSIONS
Obligations do not apply to information that is publicly known, independently developed, lawfully obtained from a third party, or required to be disclosed by law.

4. TERM
This Agreement shall remain in effect for 2 years from the date of execution.

5. NO LICENSE
No license or transfer of intellectual property rights is granted by this Agreement.

6. JURISDICTION
Governed by Indian law. Disputes subject to local courts.
