CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement is executed on 2026-04-26 between:

1. Company Name ("Company")

2. Employee Name (Employee ID: EMP12345) ("Recipient")

1. CONFIDENTIAL INFORMATION
"Confidential Information" includes but is not limited to:
(a) Trade secrets, business plans, strategies
(b) Financial data, customer lists, supplier details
(c) Technical information, source code, designs
(d) HR data, salary information, employee details
(e) Any information marked confidential or reasonably understood to be so

2. OBLIGATIONS
The Recipient agrees to:
(a) Hold all Confidential Information in strict confidence.
(b) Use it only for performing assigned duties.
(c) Not share with anyone (including family) without authorization.
(d) Take reasonable security measures.
(e) Not copy, photograph, or record any Confidential Information without permission.

3. RETURN OF INFORMATION
Upon termination of employment/engagement, the Recipient shall:
(a) Return all physical and digital copies of Confidential Information.
(b) Delete from personal devices and cloud accounts.
(c) Provide written confirmation of complete return/deletion.

4. POST-TERMINATION OBLIGATIONS
Confidentiality obligations shall continue for 3 years after termination of employment.

5. EXCEPTIONS
Obligations do not apply to information that:
(a) Is publicly known.
(b) Was rightfully in possession before disclosure.
(c) Is required to be disclosed by law (with prior notice to Company).

6. CONSEQUENCES OF BREACH
Breach shall result in:
(a) Termination of employment for cause.
(b) Civil action for injunction and damages.
(c) Criminal action under IT Act, IPC where applicable.
(d) Reporting to industry bodies and law enforcement.

7. INJUNCTIVE RELIEF
The Recipient acknowledges that breach would cause irreparable harm, and the Company is entitled to seek injunctive relief.

8. ASSIGNMENT
This Agreement shall bind the Recipients heirs and legal successors.

9. JURISDICTION
Governed by Indian law. Disputes subject to courts of competent jurisdiction.

I have read and understood this Agreement and agree to comply with all provisions.
