Service Agreement

SERVICE AGREEMENT

This Service Agreement is made on 2026-04-26 between:

1. Client Company Name, having address at Client Address (the "Client"); and

2. Freelancer/Contractor Name, having address at Provider Address (the "Service Provider").

1. SCOPE OF SERVICES
The Service Provider shall deliver the following services:
Web development, UI/UX design for the client website project
All specific deliverables and timelines shall be agreed in a separate Statement of Work (SoW).

2. FEES & PAYMENT
(a) Total fees: ₹500000 (exclusive of GST).
(b) Payment schedule: 30% advance, 30% on milestone, 40% on completion
(c) Payments shall be made within 7 days of invoice receipt via NEFT/RTGS.
(d) Late payments shall attract interest @ 18% p.a.

3. DURATION
The agreement is valid for 3 months from the date of signing, unless terminated earlier as per Section 7.

4. INDEPENDENT CONTRACTOR
The Service Provider is engaged as an independent contractor, not an employee. No PF/ESI contributions are payable.

5. INTELLECTUAL PROPERTY
All work product created shall be the property of the Client upon full payment. The Service Provider retains rights to general methodologies and pre-existing IP.

6. CONFIDENTIALITY
Both parties shall maintain confidentiality of each others business information for 3 years post-termination.

7. TERMINATION
Either party may terminate with 15 days written notice. The Client shall pay for work completed up to termination date.

8. NON-SOLICITATION
Neither party shall solicit each others employees for 12 months post-termination.

9. WARRANTY
The Service Provider warrants that services will be performed in a professional manner. The Service Provider shall remedy any deficiency notified within 30 days of delivery.

10. LIABILITY CAP
Maximum liability of either party shall not exceed the total fees paid under this agreement.

11. JURISDICTION
Governed by Indian law. Disputes subject to courts at Client Address.
